1. Introduction

Welcome to StudioTimes! These Terms and Conditions ("Terms") govern your use of our services, including our website, applications, and any related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

2. Acceptance of Terms

By registering for an account or using the Service, you accept and agree to these Terms and our Privacy Policy. If you do not agree, please do not use our Service.

3. User Accounts

**Account Registration**: Users may create a standard account without providing payment details. Upgrading to a Plus account requires entering payment information.

**Account Security**: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

**User Responsibilities**:

- Provide accurate and complete information during registration.

- Comply with all applicable laws and regulations.

- Respect the terms and policies set by studios.

- Refrain from any prohibited activities as outlined in these Terms.

4. Payment Terms

**Studio Accounts**:

- **Standard Accounts**: Studios pay a 25% share of revenue on bookings and invoices when using our platform with a standard account. This includes a 3% transaction fee charged by Stripe (22% net).

- **Plus Accounts**: Studios pay a 5% share of revenue on bookings and invoices when using our platform with a Plus account. This includes a 3% transaction fee charged by Stripe (2% net).

**Fee Changes**: We reserve the right to change our fees at any time and will provide notice of any fee changes before they become effective, but we will do our best to grandfather the price and fee you signed up with.

**Booking Sessions**:

- **Payment Collection**: Payment for the booking amount is collected when a booking goes through.

- **Declined Bookings**: If a studio declines the booking session, the payment is automatically refunded.

- **Refunds**: Refunds and partial refunds can be issued at any point before, during, or after a booking session at the discretion of the studio business. Users should refer to each studio's cancellation policy.

- **Disputes**: For any disputes, please contact support@studiotimes.io.

5. Cancellations and Rescheduling

**Studio Policies**: Cancellation policies and studio rules are set by each studio business. Users should check the listing's booking or cancellation policies to understand the terms.

**Cutoff Times**: Cutoff times for refunds or changes are determined by the studio's policies.

**Additional Charges**: Violations of studio rules may result in additional charges sent via invoice.

6. Platform Rights and Veto Power

StudioTimes reserves the right to remove or suspend studios, users, or listings from the platform at our discretion, including but not limited to violations of these Terms or engaging in illegal activities.

7. Intellectual Property

**Content Ownership**: Studios and users retain ownership of the content they submit to the platform.

**License to Use Content**: By submitting content, you grant StudioTimes a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and promoting the Service.

**Intellectual Property Rights**: All intellectual property rights in the Service are owned by StudioTimes or its licensors. We do not claim ownership nor take responsibility for information shared from users, studios, or listings.

8. Age Restrictions

Users must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

9. Dispute Resolution

**Between Users and Studios**: Disputes arising between users and studios should be directed to support@studiotimes.io. StudioTimes will assist in mediating disputes but is not liable for the actions of users or studios.

**Governing Law**: These Terms are governed by the federal laws of the United States of America and the laws of the State of Delaware.

10. Limitation of Liability

StudioTimes is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of the Service. We do not claim responsibility for third-party content on our platform, including but not limited to a given studio's links.

11. Data Usage and Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your information. We do not sell or distribute your data in any way other than to Google and Stripe for the necessary functionality of the Service. We only add events to your Google Calendar; we do not read or edit your calendar data. By using the Service, you consent to the practices described in the Privacy Policy.

12. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by email or through the Service. Continued use of the Service after changes become effective constitutes acceptance of the new Terms.

13. Prohibited Activities

Users are prohibited from:

- Engaging in illegal activities.

- Harassing or abusing other users or studios.

- Posting false, misleading, or defamatory content.

- Attempting to interfere with the operation of the Service.
